Introduction Welcome to Greenhouse Rescue (also referred to as GR) in this document). We are delighted that you are electing to become a GR Member. Please be aware that all Members are responsible for conducting their own affairs within the framework of GR Policies and Procedures (also known as P&P) as well as operating their Membership Cards in conjunction with these specific Terms & Conditions below. Please become familiar with your Membership, products, services, events and investment tools. We suggest that Members consistently refer to the Greenhouse Rescue web site www.greenhouserescue.com and the Mainstreetworld Web Site at www.mainstreetworld.com to stay informed of the latest information and developments and cross reference this information to the MainStreet Portal at www.mymsm.com. GR will be in regular contact with you through your e-mail address.
General These Terms and Conditions apply to any use of any branded card powered by Ultrapay and by doing so, constitute an agreement to abide by these terms and conditions with GR.
Authorised Member Any person may acquire a card for use within the GR or request to upgrade to a Business Member, then if they so choose to the MainStreet International Club (referred to as MSIC). Provided they are acceptable to MSIC and the relevant application is completed, processed and then approved.
Application All GR Membership Applicants will need to supply a preferred initial login password.
A Green Cash Reward Card (referred to as GCR) is issued directly from GR and comes with an online GCR Account. No GCR Card is activated until all fees are paid in full. Any GR Business Member can introduce other members to GR and in turn they will also be issued a GCR Card and online account. These new members will be linked to the introductory business member.
By completing a Membership Application, you, as the applicant indicate your understanding and acceptance of these Terms & Conditions and you agree to abide by them and any applicable laws and regulations that are relevant to the operation of your GR Membership.
You agree that you have not relied on any representation or promise that is not contained in these Terms & Conditions. Alleged misrepresentations by any other Member, GR staff, MainStreet International Club Staff or any person introducing you may be investigated by GR, however the company reserves the right to take action against factual breaches rather than alleged breaches.
As a GR Member you acknowledge that you are an independent Member and are not an agent, contractor, employee, franchisee, partner, joint venture partner or a legal representative of GR. In all cases, any reference Members make to themselves must clearly set forth the Member’s Independent status. For example: If the Member has a business phone, the phone may not be listed under the GR name or in any other manner that does not disclose the Independent status of the Member.
Once you have applied to become a GR Business Member you can activate your business by completing the online training. ,This will then afford Members the knowledge and the ability to sell products and services, refer business to GR and on-sell GR to other GR Members, merchants or general card holders who are considered customers.
GR Membership Card Number The MainStreet International Group operate a number of card based products and services to program operators, that are designed to facilitate the settlement of non-cash payments. GR is one of these program operators. When approved by GR, each applicant will be issued with a Membership Card showing a unique 16 digit Card Number. This card number will not change except in exceptional circumstances and then only with the express agreement of GR.
The Membership Card number is commonly used throughout GR as well as the online Account system. Point of sale merchants can recognise GR Members as they are uniquely identified and aptly rewarded.
GR Card numbers are not transferable without application to GR due to the inherent nature of this type of card and Membership. GR Members must ensure that their Card is not transferred without permission or used without their consent. A GR Membership is, as per the GR Constitution, willable, transferable and saleable which ensures the integrity of each GR Membership Card and Number and this is conducted by way of separate application to GR. See Clause 11.0.
Membership Micro-Transaction Revenue Cash Rewards (MTR) GR Members participate in the card based Cash Rewards Program/s which rely on the collection and distribution of micro-transaction revenue from purchases made online or at the point of sale (also known as the MTR).
This cash, points and discounts rewards based compensation structure rewards Members for their own shopping loyalty as well as collected and pooled micro-transaction revenue from all or any active cards issued within the GR program worldwide Rewards will be paid to an active Member’s card in accordance with the appropriate share of MTR applied to the GR Membership. As a Member, you acknowledge that you understand how MTR is derived and that you will be entitled to receive a share of all MTR on the basis that your Card remains active and MTR paid to your Card that has been generated from the participation of all GR Cardholders from anywhere in the world. Active members are those members who each month meet their spending obligation of $55.00 (gst inc) either on the Greenhouse Rescue Mall or by purchasing a unit within the unit trust.
GR Products & Services Service providers and products offered as part of the Membership may be varied from time to time by GR. The Memberships may be upgraded from one level to another eg Customer Member can upgrade to a Business Member from any country around the world. Terms and Conditions, MTR based Cash Rewards, Rules and Regulations exist for each level of membership. To qualify for MTR and other cash and bonus rewards as a Business Member, you are required to purchase a minimum of $55..00(gst inc) per month, for goods or services for your own consumption from the Greenhouse Malls or the MainStreet Malls (MSM) which can be found at www.greenhouserescue.com, www.mainstreetworld.com, www.mymsm.com, www.mainstreetmalls.com.
Alternately, if you do not wish to buy any products for a particular month, you have the option of purchasing units in the Greenhouse Rescue Unit Trust.
GR, MSI, its Directors and employees make no representations of the likely monthly value of MTR based Cash Rewards eligible to each Cardholder, other than the information contained within estimates and projections issued within the GR approved marketing material.
Income Tax As part of the Membership qualification process as per Clauses 7.0 and 8.0 above, as is appropriate to the jurisdiction of their residence, Members are responsible for paying local, state, and federal income taxes on any earnings generated through their GR Membership. Because income derived may form part of your assessable income, Members should discuss with their accountant both the income and any tax-deductibility of expenses related to the earning of their MTR based Cash Reward income. Members are requested to update their My Profile section of their GR Membership Accounts to include their Tax File Number and other required information to avoid MainStreet applying ATO Withholding Tax from any qualified Active or Bonus Reward payment/s.
Green Cash Reward Card and Account This is an online Internet based personal account supplied by Ultrapay, from which GR Members are able to access and manage their Card accounts. Additionally, GR has established this facility, into which the Member's MTR based Cash Rewards derived from the culmination of micro-transaction revenue from shopping conducted online and at the point of sale by any cards issued by GR are placed.
GCR Account is capable of transferring funds from card-to-card, transferring funds from bank-to-card, from card-to-bank, loading funds to this card from an approved Credit Card, transferring funds to any Visa Card world-wide, making international funds A Member shall not permit any third party to access their GCR Account, nor will GR allow any other Member access to any Member’s account or personal details.
Memberships – Saleable, Willable or Transferable Each Member has the right to sell, will, or transfer their GR Membership after application to and approval by GR. This approval shall not be unreasonably withheld and will relate to the processing of a new application from the third party being sold, willed or transferred to. Normal conditions will apply to any such Membership transfer.
Succession In the event of the death or incapacity of a GR Member, GR requires a copy of the death certificate or a registered medical physician’s statement. In this event, the Members Cash Reward income rights as a Cardholder may pass to their successors.
The successors must also submit a written application for consideration by GR and the Card Provider. This approval shall not be unreasonably withheld. If approved, the successors agree to assume the responsibilities of the Member.
Voluntary Resignation The Member Agreement may be cancelled at any time, and for any reason by a Member, by notifying GR in writing. Should the individual choose to rejoin GR, they may reactivate only after six (6) months have passed. GR reserves the right of approval for re-activation. Any rejoining Member must join as any other new incoming Member would, and at the next available free position.
Termination of A GR Membership GR reserves the right to terminate any Membership at any time if that Member is assessed by GR as acting in a manner that is not within the Terms & Conditions of GR, including the provisions of applicable laws, not acting in the reasonable best interests of GR and standards of fair trading and dealing. Such termination shall be made by GR at its discretion. In the event of a termination, the terminated Member agrees to immediately return all or any material supplied to the Member. Any present or future MTR Cash Rewards from GR activities of cards or the activities of the Member’s linked cards if applicable, as of the date of the breaches, may be forfeited.
The Member does however, have the right of an appeal process directly to an independent arbitrator, within fourteen (14) days of receipt of the notification of termination by email through the GR Members email address. If reply notice of the appeal is not received by GR within the 14-day period, the termination will be automatically deemed final and the GR membership shall be terminated on the said date as outlined in the notice of termination email.
The arbitration will be conducted in the jurisdiction of Queensland Australia in the presence of an independent arbitrator. The Arbitration decision is final and is subject to no further review. In the event the termination is not rescinded, the termination will be effective as of the date of the original termination notice.
Application to rejoin at a later date cannot be applied for until the expiration of six (6) months from previous termination. The company reserves the right of approval for reactivation.
Access to Membership Card ∓ Account Services, use of Passwords and Pin Numbers
GR does not represent or guarantee that access to your GR Card or the GR GRC Account service will be uninterrupted. The GR Cardholder acknowledges that access to their GR Card and Account services may be affected by outages, faults and delays however caused.
GR Card can only be accessed via the GR Card Number, Personal Identification Number (PIN) and unique Password issues to GR Cardholders.
Upon issue of a GR Card and Account, Cardholders are provided a temporary password. Upon the first login to the GCR Cardholders online Account, the Cardholder is required to input a new and private password to access their GR Card’s Account. This also applies to Personal Identification Numbers (Pins) which can also be changed at the Cardholders discretion.
As the authorized user of a GCR Card, the Cardholder shall:
Types of Card Currencies on GR Cards There are two types of GCR Card Currency - Home Currency or Multi-currency.
A Home Currency only operates in the nominated Home Currency of a MSIC Card applicable to the country of issue.
Higher fees apply for a Multi-currency MSIC Card than a Home Currency based MSIC Card.
A standard Card issued from any GDC Programme Operator or authorised Merchant within a defined country is generally deemed to operate within that country’s Home Currency only. Cards issued within the MainStreet International Group, and its GDC Programmes in many cases are set up to be multi-currency as standard. General cards issued by MSIC are not multi-currency empowered. To gain multi-currency status on cards not having this status, the cardholder will need to upgrade by contacting MSIC.
Members may apply for a second identical card to operate their account. This card will be issued to the Member only at a nominal cost AUD$15.00 to produce and send each card. In addition this same fee will apply to the replacement of any lost or stolen card.
Amendments to the Service GR may amend the Terms and Conditions of Membership by giving email notice to the GR Members email address and posting the new Terms and Conditions on the GR website.
Fees and Charges Fees and charges are set out in "Fees and Charges" (Hyperlink) on the GR web site as well as links from MSIC Programme Operators, as amended from time to time.
GR Cardholders agree to pay the applicable fees and charges to operate their cards and Accounts. All fees and charges shall be debited from the Cardholders GCR Account, subject to any applicable fees and charges for the debiting of the outstanding amount, unless otherwise agreed.
Any fees and charges debited but unpaid will be carried forward and debited from any credit to the GCR Cardholders account, subject to any applicable fee and charge for the debiting of the outstanding amount.
GR may at any time add to, remove, change, vary, or impose conditions upon the fees or charges for all or any of the functions of all or any GCR Card products in line with CPI and Trade Practices Laws within the boundaries of the Home Currency.
Each GCR Card issued, has an expiry date. A GCR Card can be extended upon payment of the appropriate fee/s. Moneys in a GCR Card account which has expired without claim and payment of fee/s are the sole property of GR.
Annual Renewal Fees Many of the card products utilised by GR have monthly fees as well as annual renewal fees. All such fees are noted on separate application forms that are executed by the Member prior to issue of each product. A number of card products also have separate Terms & Conditions issued by acquiring Banks. In any event the member agrees to pay any renewal fees applicable to card products prior to re-issue of the same annually.
As a Business Member of GR there are Annual renewal fees. The fee is $27.50 (gst inc) and will be directly debited from the member’s account on the due date. If the member’s account does not cover the applicable annual renewal fee within 30 days of falling due, the member will receive a notice of termination by email through the GR Members email address. Upon receiving the said email it is then the GR Members responsibility to contact GR to organise payment of the annual renewal or the GR membership shall be terminated on the said date as outlined in the notice of termination email. GR Membership renewal fees are set and if there is to be an increase, 30 days notification will be sent via the GR Members email.\
Time Period GR is only required to maintain transaction details in a GC Account for a period of 2 calendar years (or part thereof).
Each individual transaction within a GCR Account has an individual expiry date as outlined in the General Terms and Conditions. This applies to electronically generated GR digital cash transfers.
It is the responsibility of each GCR Cardholder holder to copy or print a copy of all transactions prior to the expiration of the 2 calendar years (or part thereof) period.
Each GCR Card has an expiry date as determined by GR. A new card shall be issued to GR Member prior to the expiry of their existing card, as long as the appropriate fees have been paid in full.
Payments and Transfers Irrevocable All GCR digital cash payments and transfers are irrevocable and the sole responsibility of the GCR Cardholder.
Member Confidentiality GR prepare reports for the sole use of Members and are not to be used for any other purpose. All information contained in these reports is proprietary and confidential and relate to all or any cards or merchants linked into a Members own GCR Account and Card.
Each Member acknowledges that they will be provided with confidential information in relation to GR and its business systems and will not disclose such confidential information to any third party.
Privacy Statement and Personal information GR is sensitive to privacy issues and treats very seriously the ongoing trust our Members have placed in us. GR aspires to best practice procedures and are constantly in the process of ensuring the security and protection of your private information.
What information we do hold:- The personal information collected and maintained by GR comprises your name, address contact and customer relationship management details specific to your GR Membership. This information is held for the express purpose of contacting you in relation to your on-going membership, notification of updates, news, events and improvements to Greenhouse Rescue.
Access by third parties The only access to information by a third party would be via the GR Card Provider, Ultrapay or in the event of one of the provisions above. Generally, the only information that can be accessed by GR staff is your User Name and contact details supplied with your GR Membership Application. This would not give him/her access to any personal details, nor direct contact with any person connected with you.
You alone have the authority to share your information with others. GR do not share personal information to direct marketing or similar organisations as we consider that this property is commercial in confidence for the use of GR alone.
GR and ULTRAPAY General Terms and Conditions Ultrapay General Terms and Conditions supplement and compliment the GR Terms and Conditions and also include any specific GR Programme Operator Branded Card or Account, functionality, terms and conditions or features specific to the type or style of branded card issued. These GR Terms & Conditions can be read in conjunction with them and are found on the Ultrapay website at www.ultrapay.com. In the event of a conflict between the Ultrapay General Terms and Conditions and the GR Terms & Conditions then the Ultrapay General Terms and Conditions shall prevail where the operation of any Membership card is concerned.
Use of an GCR Card is an express acknowledgement of the intellectual property ownership of Ultrapay and GR in respect of the Ultrapay Account system, Ultrapay logos, and trademarks.
Ultrapay and GR are not liable for any loss or damage arising from a Cardholders operation of their GCR card or Account.
Agreement to GR Terms and Conditions GR Members use of their GCR Card is an agreement to abide by the GR and Ultrapay Terms and conditions as amended and posted on the GR and Ultrapay websites from time to time. Amendments may be for all or any types of specified Ultrapay branded cards and or changes, upgrades or additions to GR operations.
